According to a filing with the U.S. Securities and Exchange Commission (SEC), the company&#8217;s board has officially authorized the reverse stock split, which will be implemented as soon as practical.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A reverse stock split reduces the total number of outstanding shares while increasing the price per share proportionally. American Bitcoin confirmed that although the number of outstanding shares will decrease, the total number of authorized shares will remain unchanged. Such moves are commonly used by publicly listed companies to improve their share price without changing the overall value of shareholders&#8217; investments.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In addition to approving the stock split, shareholders elected Asher Genoot as a Class I director. He will serve a three-year term that is scheduled to expire in 2029. Investors also voted in favor of reappointing KPMG LLP as the company&#8217;s independent registered public accounting firm.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">American Bitcoin has continued to strengthen its position in the crypto sector by expanding its Bitcoin treasury.<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\"> Since launching its operations, the company has accumulated more than 7,500 BTC, making it the 16th-largest publicly traded corporate holder of Bitcoin based on available treasury data. Eric Trump continues to play a significant role in the company&#8217;s operations as it expands its presence in the digital asset industry.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The company&#8217;s latest announcement comes shortly after reports emerged that Democratic senators have called on Senate Republican leaders to hold hearings over a reported $500 million investment in World Liberty Financial by an Abu Dhabi-backed entity.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">According to the lawmakers, they want officials from the Trump administration to testify under oath regarding whether the investment influenced later policy decisions involving the United Arab Emirates.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The senators referred to a Wall Street Journal report claiming that Aryam Investment 1, an Abu Dhabi-based company backed by Sheikh Tahnoon bin Zayed Al Nahyan, acquired a 49% stake in World Liberty Financial through an agreement signed in January 2025. The lawmakers also highlighted subsequent approvals involving major arms sales and access to advanced AI chips for the UAE, arguing that those developments deserve congressional examination.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The SEC filing also revealed that several company directors received Class A common shares after restricted stock units (RSUs) vested on the date of the annual meeting. Justin Mateen received 254,778 shares, Richard Busch was awarded 254,778 shares, and Michael Broukhim obtained 270,701 shares through one-for-one conversions of vested RSUs.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Despite the corporate developments, American Bitcoin&#8217;s stock continued to struggle. ABTC shares ended Wednesday&#8217;s trading session down 4.17% at $0.74 after moving between an intraday high of $0.78 and a low of $0.73. Over the past week, the stock has declined by around 17% and is down roughly 60% since the beginning of the year, according to Google Finance data.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Selling pressure continued into early Thursday trading, with ABTC shares falling another 3.15% to around $0.72 after trading between $0.75 and $0.68 during the session.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Meanwhile, the broader cryptocurrency market also remained under pressure. Bitcoin traded near $59,360, down approximately 2.6% over the previous 24 hours after slipping below the key $60,000 level.
